1. (A) Ces conditions s’appliquent \u00e0 tous les contrats de vente de marchandises entre le vendeur et l’acheteur, sauf accord sp\u00e9cifique par \u00e9crit entre le vendeur et l’acheteur.<\/p>\n
(B) Le fait de ne pas avoir \u00e9t\u00e9 soumis \u00e0 un accord, \u00e0 un arrangement ou \u00e0 une discussion pr\u00e9alable aucun contrat de vente des marchandises vis\u00e9es par le pr\u00e9sent contrat (\u00ab les marchandises \u00bb) ne sera conclu tant que le vendeur n’aura pas \u00e9mis d’acceptation \u00e9crite de l’ordonnance de l’acheteur pour les marchandises.<\/p>\n
(C) L’ordonnance de l’acheteur et l’acceptation \u00e9crite de celui-ci par le vendeur ainsi que ces conditions constituent \u00e0 elles seules le contrat de vente des marchandises (\u00ab le contrat \u00bb) et aucune autre condition ou garantie, qu’il s’agisse d’une loi expresse ou implicite ou d’une autre partie du contrat et aucune modification du contrat ne sera effective \u00e0 moins d’\u00eatre convenue par \u00e9crit entre le vendeur et l’acheteur. La signature par le vendeur de l’une des pi\u00e8ces de l’acheteur n’implique pas une modification de ces conditions qui pr\u00e9vaut.<\/p>\n
(D) L’acheteur ne peut annuler ce contrat sans le consentement \u00e9crit du vendeur, qui peut imposer des conditions telles que l’indemnisation et l’indemnit\u00e9 comme condition d’un tel consentement comme il le juge appropri\u00e9. L’acheteur ne peut pas attribuer ce contrat sans le consentement du vendeur que le vendeur a le droit de refuser dans son pouvoir discr\u00e9tionnaire absolu.<\/p>\n
(E) La sp\u00e9cification et la description des marchandises figurant dans toute citation du vendeur sont donn\u00e9es aux fins d’identification seulement et ne sont pas r\u00e9put\u00e9es constituer la vente des marchandises comme une vente par description et l’acheteur reconna\u00eet qu’il n’est pas l’achat des marchandises en se fondant sur toute description ci-dessus ou toute autre d\u00e9claration ou repr\u00e9sentation qui aurait pu \u00eatre faite par le vendeur ou tout autre tiers. Toutes les descriptions et illustrations contenues dans l’un des catalogues, listes de prix et publicit\u00e9s du vendeur ou autrement communiqu\u00e9es \u00e0 l’acheteur visent simplement \u00e0 pr\u00e9senter une id\u00e9e g\u00e9n\u00e9rale des marchandises d\u00e9crites dans l’un d’entre eux et rien contenu dans l’un d’eux forme n’importe quelle partie de ce contrat. Nonobstant le fait qu’un \u00e9chantillon des marchandises a pu \u00eatre expos\u00e9 et inspect\u00e9 par l’acheteur, il est convenu par la pr\u00e9sente qu’un tel \u00e9chantillon a \u00e9t\u00e9 ainsi expos\u00e9 et inspect\u00e9 uniquement pour permettre \u00e0 l’acheteur de juger par lui-m\u00eame de la qualit\u00e9 des marchandises et non de constituer une vente par \u00e9chantillon en vertu de ce contrat. L’examen des composants ou des articles inclus dans les marchandises est r\u00e9put\u00e9 avoir \u00e9t\u00e9 effectu\u00e9 par ou pour le compte de l’acheteur avant le pr\u00e9sent contrat.<\/p>\n
Prix<\/strong><\/p>\n 2. (A) Le prix est exclusif \u00e0 V.A.T. et doit \u00eatre ex entrep\u00f4t du Royaume-Uni, sauf indication contraire. L’acheteur doit payer tous les frais de livraison, de transport, d’assurance et d’emballage sp\u00e9cial. Le transport doit \u00eatre par transporteur – nomm\u00e9 par l’acheteur ou en l’absence d’une telle nomination par le transporteur choisi par le vendeur.<\/p>\n (B) (i) Les prix des marchandises cit\u00e9es par le vendeur ne sont pas fermes et le vendeur se r\u00e9serve le droit d’augmenter ou de diminuer ces prix sans pr\u00e9avis, sauf lorsque le vendeur a express\u00e9ment d\u00e9clar\u00e9 par \u00e9crit qu’un prix est ferme et pendant quelle p\u00e9riode le prix sera maintenu ferme.<\/p>\n (ii) Le vendeur se r\u00e9serve en outre le droit d’imposer une surtaxe en devises en plus de ces prix pour tenir compte des variations du taux de change entre la livre sterling et la devise \u00e9trang\u00e8re pertinente de l’origine territoriale des marchandises qui d\u00e9pr\u00e9ciation de la valeur de la livre sterling par rapport au taux de change applicable \u00e0 la date \u00e0 laquelle une cotation des marchandises doit \u00eatre fournie et sur quel taux de change une telle cotation doit \u00eatre fond\u00e9e. Cette surtaxe de change est calcul\u00e9e \u00e0 la date de l’acceptation de la commande par le vendeur et, en m\u00eame temps, avec l’acceptation de l’ordre, le vendeur doit informer l’acheteur du montant de celui-ci.<\/p>\n (C) Dans le cas o\u00f9 le prix est exprim\u00e9 en livres sterling et que le paiement n’est pas effectu\u00e9 dans les 30 jours suivant la date de la facture conform\u00e9ment \u00e0 la condition 3(A) de la pr\u00e9sente, le prix sera augment\u00e9 pour tenir compte de toute variation du taux de change entre la livre sterling et la relev en devises \u00e9trang\u00e8res de l’origine territoriale des marchandises, ce qui entra\u00eene une d\u00e9pr\u00e9ciation de la valeur de la livre sterling. Le prix est augment\u00e9 de sorte que si ledit taux de change a chang\u00e9 par rapport \u00e0 la livre sterling \u00e0 la derni\u00e8re date d’affaires pr\u00e9c\u00e9dant la date du r\u00e8glement final, le prix sera augment\u00e9 pour refl\u00e9ter cette modification. Le taux de change est celui qui pr\u00e9vaut \u00e0 Londres \u00e0 ladite derni\u00e8re date d’affaires pr\u00e9c\u00e9dant la date du r\u00e8glement final, comme le montre le Financial Times ou \u00e0 l’option du vendeur tel que d\u00e9termin\u00e9 par les banquiers du vendeur.<\/p>\n paiement<\/strong><\/p>\n 3. (A) Le paiement doit \u00eatre effectu\u00e9 en livres sterling ou en euros nets (ou en monnaie telle qu’elle a \u00e9t\u00e9 convenue pr\u00e9c\u00e9demment mutuellement entre l’acheteur et le vendeur par \u00e9crit) en Angleterre dans les 30 jours suivant la date de la facture. Le vendeur peut, dans son acceptation de l’ordre de l’acheteur, stipuler le paiement avant la livraison et l’acheteur est r\u00e9put\u00e9, en rendant sa commande, avoir consenti \u00e0 une telle stipulation faisant partie du contrat. Si l’acheteur omet par la pr\u00e9sente de payer les sommes dues au vendeur, le vendeur doit (sans pr\u00e9judice \u00e0 d’autres droits du vendeur) \u00eatre en droit de facturer des int\u00e9r\u00eats sur les sommes en souffrance au taux de 3 par an au-dessus du taux de base pour le moment de la Banque HSBC Pl c., et de retenir la livraison de tout autre bien command\u00e9 par l’acheteur jusqu’\u00e0 ce que l’acheteur ait pay\u00e9 en totalit\u00e9 les sommes en souffrance et les int\u00e9r\u00eats tels que pr\u00e9cit\u00e9s.<\/p>\n (B) Si l’acheteur omet d’effectuer le paiement (ou une partie du paiement avant la livraison des marchandises lorsque l’acceptation de l’ordre le pr\u00e9voit) ou si l’acheteur est en d\u00e9faut de paiement de tout bien immobilier ou de commettre un acte de faillite ou (si l’acheteur est une soci\u00e9t\u00e9) doit \u00eatre liquid\u00e9 ou mis en liquidation (sauf \u00e0 des fins de reconstruction ou de fusion) ou si une demande de liquidation doit avoir \u00e9t\u00e9 adopt\u00e9e ou pr\u00e9sent\u00e9e ou si un s\u00e9questre doit \u00eatre nomm\u00e9, le vendeur sera en libert\u00e9 sans pr\u00e9judice de ses droits en vertu de la contrat imm\u00e9diatement par avis \u00e9crit \u00e0 l’acheteur pour d\u00e9terminer le contrat de vente de la totalit\u00e9 ou d’une partie quelconque des marchandises.<\/p>\n (C) Si l’acheteur fait d\u00e9faut \u00e0 l’une de ses obligations envers le vendeur ou commette une violation des conditions de tout contrat conclu avec le vendeur avec l’acheteur, le vendeur a le droit de mettre fin sans pr\u00e9avis \u00e0 des accords, arrangements, ordres ou obligations de toute description et facture de l’acheteur pour tout travail effectu\u00e9 et les d\u00e9penses engag\u00e9es, y compris toute perte de profit imm\u00e9diatement et l’acheteur doit payer toute facture ainsi rendue conform\u00e9ment aux clauses applicables.<\/p>\n (D) Sauf indication contraire par \u00e9crit, le paiement des marchandises doit \u00eatre effectu\u00e9 int\u00e9gralement et sans aucune d\u00e9duction ne d\u00e9tenant aucune somme due ou r\u00e9clam\u00e9e ou exig\u00e9e par l’acheteur, qui ne doit exercer aucun droit ou capitaux propres all\u00e9gu\u00e9s de la cession, de la d\u00e9duction, de la consolidation de compte privil\u00e8ge, ou autrement retenir le paiement de la totalit\u00e9 de la somme due \u00e0 l’\u00e9gard des marchandises, dans l’intention que le vendeur peut sans pr\u00e9avis \u00e0 l’acheteur attribuer la totalit\u00e9 ou une partie de cette somme libre de tout droit all\u00e9gu\u00e9 ou capitaux propres du vendeur quel qu’il soit arisin gr.<\/p>\n Livraison<\/strong><\/p>\n 4. (A) Sauf indication contraire par \u00e9crit, la livraison doit avoir lieu lorsque les marchandises sont livr\u00e9es \u00e0 un transporteur aux fins de transmission \u00e0 l’acheteur ou lorsque les marchandises sont mises \u00e0 la disposition de l’acheteur dans les locaux du vendeur pour la collecte par l’acheteur.<\/p>\n (B) (i) Les biens des marchandises fournies ne sont transmis \u00e0 l’acheteur qu’\u00e0 partir de la date de paiement int\u00e9grale de toutes les sommes payables au vendeur \u00e0 l’\u00e9gard de celui-ci. Until such time the Goods remain the absolute property of the Seller and the Buyer\u2019s possession with the Seller\u2019s consent upon the happening of any of the following events:<\/p>\n Payments in full for the Goods not being made by the due date;<\/p>\n The presentation of a petition or the passing of a resolution for the winding up of the Buyer;<\/p>\n The commission of an act of bankruptcy by the Buyer.<\/p>\n (ii) The Buyer shall not be entitled to incorporate the Goods supplied with other goods so as to form a new product except on condition that such new product shall be the property of the Seller, until time as payment in full is made by the Buyer of all sums payable in respect of the goods supplied.<\/p>\n (iii) At any time prior to payment in full for the Goods supplied, the Buyer shall, if the Seller so requires, store the goods or products in which the Seller has retained property under (i) or (ii) hereof in such a way that they are clearly the property of the Seller, and shall allow the Seller to enter its premises and to remove such goods or products from any object to which they may have been affixed and to repossess the same at their entire discretion. Such repossession shall not affect in any way right of action of the Seller against the Buyer.<\/p>\n (iv) Until such time as payment in full is made by the Buyer of all sums payable in respect of the Goods supplied, the Buyer shall not be entitled to sell or otherwise transfer the property in any goods or products to which the Seller has retained property under (i) or (ii) hereof to a third party except on the following conditions:<\/p>\n (a) as between the Seller and the Buyer shall be regarded as selling or transferring the goods or products as agent for the Seller but nothing contained in this clause shall have the effect of or be construed as creating any privity or contract between the Seller and the third party;<\/p>\n (b) the Buyer shall if the Seller so requires, assign to the Seller any right of action against the third party in respect of money due for such goods or products;<\/p>\n (c) if the buyer receives monies for such goods or products the Buyer shall hold such monies in a separate account to identify the same as being the property of the Seller;<\/p>\n (d) the Seller will account to the Buyer for any monies received by the Seller pursuant to the provision hereof, to the extent that such monies exceed the sum due for the goods supplied by the Seller to the Buyer.<\/p>\n (v) Unless otherwise agreed in writing, risk in the Goods shall pass to the Buyer from the time of delivery of the Goods by the Seller or its agent or carrier to the Buyer or from the time of collection by the Buyer or its agent or carrier. The Buyer shall insure the goods for their full market value.<\/p>\n (C) Any insurance of the goods in transit before Delivery shall be for the account of the Seller and the Seller shall not arrange and shall not be obliged to arrange any insurance cover for the Goods for any period following Delivery except by special arrangement in writing with the Buyer.<\/p>\n (D) Notwithstanding any other provision hereof, should the manufacture, supply or delivery of the whole or any parts of the Goods be interrupted, prevented or hindered by any cause or causes whatsoever beyond the Seller\u2019s control, the Seller shall be entitled to postpone or suspend Delivery of the Goods or any part thereof until (in the Seller\u2019s judgement) such cause has ceased to operate. The Seller shall be under no liability whatsoever, in respect of such postponement or suspension. Without limiting the generality of the causes referred to above the same shall include war, fire, accident, breakdown or plant or machinery, strikes, combinations of workman and lock-outs (whether affecting the Seller\u2019s works or those of supplying Contractors or Carriers), non-delivery or delay in delivery of materials or any other circumstances of whatsoever nature and not limited to the foregoing, which directly or indirectly interrupts, prevents or hinders the due performance of the Contract.<\/p>\n (E) All delivery dates are estimates only and the Seller shall not be liable for failure to make the Goods available by such dates except where an express guarantee in writing is given by the Seller on the same date as the quotation and\/or order form acceptance. Under no circumstances shall the Seller be liable to compensate the Buyer, in damages or otherwise, for non-delivery or late delivery of the Goods or for any loss, consequential or otherwise, arising therefrom.<\/p>\n (F) The Seller shall be permitted to charge for storage and other expenses at its discretion in the event that delivery is not accepted in the specified period.<\/p>\n Extension of Benefits<\/strong><\/p>\n 5. The Seller will use its best endeavours to extend to the Buyer the benefit of any guarantee condition or warranty which may have been given to the Seller by any manufacturer or vendor or otherwise implied in favour of the Seller provided always that the Goods are not being sold by the Seller with or subject to any condition or warranty express or implied by statute description or otherwise and all such conditions and warranties are hereby expressly excluded save for any warranties that may be imposed upon it by statute and so that the terms of any such guarantee condition or warranty given by the manufacturer is only extended to the Buyer on terms that the Buyer fully indemnifies the Seller against all costs claims damages and expenses incurred or to be incurred in connection with the enforcement thereof.<\/p>\n Liability of the Seller<\/strong><\/p>\n 6. (A) Any liability of the Seller to the Buyer shall in no circumstances whatsoever exceed the total purchase price for the Goods.<\/p>\n (B) The Seller shall not be liable for any damage or expense whether consequential or otherwise for any personal injury loss or claim of whatever kind and howsoever caused arising from defects in any of the components or articles comprised in the Goods, or through non-compliance with health or safety regulations in any area so that non conditions guarantees or warranties express or implied are provided in respect thereof.<\/p>\n Patent Indemnity<\/strong><\/p>\n 7. No representation, warranty or indemnity is given by the Seller that the sale or use of the Goods does not infringe any Letters Patent, Trade Marks, Registered Designs, Copyright or other industrial rights and in this respect the Buyer shall take such title to the Goods as the Seller has.<\/p>\n Arbitration<\/strong><\/p>\n 8. Any dispute or difference arising out of the Contract shall, if the Seller so elects by the notice in writing to the Buyer, be referred to the arbitration of a person mutually agreed upon, or failing agreement within fourteen days of the receipt by the Buyer of such notice aforesaid, of some person appointed by the president for the time being of the Law Society of England and Wales and upon the giving of such notice this shall be deemed to a submission to arbitration within the meaning of the Arbitration Act 1950 or any statutory modification thereof for the time being in force.<\/p>\n Applicable Law<\/strong><\/p>\n 9. The Contract shall be governed by read and construed and take effect in all respects in accordance with the Laws of England and the Buyer hereby submits to the jurisdiction of the English Courts for the purpose but that the Seller may enforce this Contract in any part of the World.<\/p>\n Notice<\/strong><\/p>\n 10.
